Mobile App Terms of Use

These Terms of Use govern access to and use of the mobile applications provided by Proprelette (Proprelette Hotel, Proprelette Representante), distributed through the Google Play Store and the Apple App Store. These are corporate, restricted-access applications, intended exclusively for client hotels and authorised Proprelette representatives. By installing or using the app, you confirm that you have read, understood and fully accepted these Terms.

1Acceptance of these Terms

These Terms of Use ("Terms") form an agreement between you ("User") and Proprelette, registered under Brazilian company number (CNPJ) 43.650.984/0001-69 ("Proprelette", "we", "us").

Use of the app requires full acceptance of these Terms. If you do not agree with any provision set out here, do not install or use the app, and request cancellation of your access by writing to contato@proprelette.com.

If you use the app on behalf of a legal entity (for example, the hotel you work for), you represent that you have authority to accept these Terms on that entity's behalf.

2What the app is

The app is a professional tool supporting the operation of the Proprelette amenities solution. Depending on the access profile granted, it allows users to follow operational information, usage records, orders, indicators and communications relating to the commercial relationship between the hotel and Proprelette.

The app is not intended for the general public and is not aimed at hotel guests. It is not a social network, a marketplace or a consumer service, and it contains no content generated or published by third parties.

Proprelette may add, change or discontinue features at any time, always seeking to preserve the essential purpose of the service.

3Restricted access and no self-registration

The app is closed-access. There is no public sign-up: the app has no account creation screen and it is not possible to register on your own.

All accounts are created and maintained by Proprelette in its internal systems, at the request of the client hotel or by internal assignment, and are delivered to the User already active. Access is granted exclusively to:

  • employees and representatives of hotels and hotel chains with a current contractual relationship with Proprelette;
  • commercial representatives, distributors and authorised Proprelette staff.

Access is personal and non-transferable, and is tied to the professional relationship that gave rise to it. When that relationship ends — or when the contract between the hotel and Proprelette ends — access is deactivated.

The app is intended for users aged 18 or over, acting in a professional capacity.

4Credentials and account security

Access credentials are personal and confidential. The User is responsible for keeping them secret and for all activity carried out through their account.

  • do not share your login, password or verification codes with third parties;
  • use a strong password and do not reuse it on other services;
  • keep your device protected with screen lock and an up-to-date operating system;
  • notify Proprelette immediately at contato@proprelette.com of any loss, theft, unauthorised use or suspected compromise of the account.

Proprelette may require a password change or revoke active sessions whenever a security risk is identified.

5Licence to use

Proprelette grants the User a limited, personal, revocable, non-exclusive, non-sublicensable and non-transferable licence to install and use the app on mobile devices the User owns or controls, exclusively for the professional purposes set out in these Terms.

This licence does not transfer any rights over the app, its code, its brand or its technology. All rights not expressly granted remain reserved to Proprelette.

6Rules of use and prohibited conduct

The User agrees to use the app lawfully, ethically and in accordance with these Terms. The following are expressly prohibited:

  • sharing, assigning, selling or allowing third parties to use your credentials or your access;
  • attempting to access accounts, areas, data or features for which you have no authorisation;
  • circumventing, disabling or interfering with authentication, security, audit or usage-limit mechanisms;
  • reverse engineering, decompiling, disassembling, modifying or creating derivative works of the app, except to the extent permitted by law;
  • copying, extracting or scraping data by automated means (crawlers, bots, scripts), or reproducing the app's databases;
  • introducing viruses, malware or any malicious code, or performing acts that compromise the integrity, performance or availability of the service;
  • using the app for any unlawful, fraudulent, defamatory or discriminatory purpose, or in a way that infringes third-party rights;
  • publicly disclosing confidential commercial, technical or operational information obtained through the app;
  • using the app in breach of applicable law, including data protection and intellectual property rules;
  • presenting the app or the Proprelette solution as belonging to a third party, or removing ownership notices.

Breach of these rules may result in immediate suspension or termination of access, without prejudice to any applicable legal remedies.

7Information entered by the User

Certain features allow the User to record operational information (for example, entries, quantities, incidents, notes and attachments). The User represents that such information is accurate, that they are authorised to enter it, and that it does not include personal data unnecessary to the operation, guest data or sensitive data.

The User authorises Proprelette to store and process such information in order to operate the service, provide support, generate reports and comply with contractual and legal obligations, as described in the Privacy Policy.

Records entered improperly may be corrected or removed by Proprelette at the request of the responsible hotel.

8Intellectual property

The app, its source code, layout, interfaces, texts, images, trade marks, logos, databases and the technology behind the Proprelette solution — including technology protected by patents filed and granted in several countries — are the exclusive property of Proprelette or its licensors, protected by Brazilian law and international treaties.

Any reproduction, distribution, public display, adaptation or commercial exploitation of the app or its elements without Proprelette's prior written authorisation is prohibited.

Suggestions and feedback voluntarily submitted by the User about the app may be used by Proprelette to improve the product, without giving rise to any obligation of payment or attribution.

9Availability, updates and support

Proprelette uses its best efforts to keep the app available and stable but does not guarantee uninterrupted or error-free operation. The service may be temporarily unavailable due to maintenance, updates, security incidents, connectivity failures, third-party outages or force majeure events.

Use of the app requires an internet connection, a compatible device and a supported operating system version. Data, equipment and connectivity costs are the responsibility of the User or the hotel.

Updates may be released periodically and, in some cases, may be required for continued operation. Outdated versions may stop working.

Technical support is provided by Proprelette at contato@proprelette.com, on business days, through the channels and within the timeframes agreed with the client hotel. The app stores do not provide support for the app.

10Free of charge and no in-app purchases

The app is free to download and its use generates no direct charge to the User. There are no in-app purchases, subscriptions, virtual currencies, advertising or any other form of monetisation.

Any amounts relating to the Proprelette solution are handled exclusively under the commercial contract signed with the client hotel, outside the app and without any involvement of the app stores.

11Suspension and termination of access

Proprelette may suspend or terminate the User's access, in whole or in part, in the following cases:

  • breach of these Terms or of applicable law;
  • termination of the User's professional relationship with the client hotel or with Proprelette;
  • expiry, suspension or termination of the contractual relationship between the hotel and Proprelette;
  • request by the hotel responsible for the account;
  • risk to security, data integrity or service operation;
  • legal, regulatory or judicial determination.

The User may stop using the app at any time by uninstalling it and requesting deactivation of access as described in the data deletion section of the Privacy Policy.

Termination does not affect confidentiality obligations or records that must be retained for statutory periods.

12Disclaimer of warranties

The app is provided "as is" and "as available". To the maximum extent permitted by applicable law, Proprelette makes no warranty that the app will meet specific expectations, will be error-free, or will be compatible with all devices and configurations.

The User is responsible for verifying information before making operational or commercial decisions based on data shown in the app.

13Limitation of liability

To the maximum extent permitted by law, Proprelette shall not be liable for indirect damages, loss of profits, loss of data, loss of opportunity or damages arising from:

  • misuse of the app or of credentials by the User or by third parties to whom the User granted access;
  • temporary unavailability of the service, connectivity failures or device failures;
  • acts of third parties, including cyber attacks carried out despite the adoption of reasonable security measures;
  • incorrect information entered by the User or by the hotel;
  • fortuitous events or force majeure.

Nothing in these Terms excludes liabilities that cannot be limited by law, including those arising from wilful misconduct or from mandatory public-policy rules.

14Privacy and data protection

The processing of personal data in the app complies with the Brazilian General Data Protection Law (Law No. 13,709/2018 — LGPD) and is described in the Privacy Policy, which forms part of these Terms.

Proprelette does not sell personal data and does not use it for behavioural advertising.

15Distribution through the app stores

The app is distributed through the Apple App Store and the Google Play Store. Use of the app is also subject to those platforms' terms, which the User agrees to comply with.

Provisions applicable to Apple

As required by Apple Inc. ("Apple"), the User acknowledges that:

  • these Terms are entered into solely between the User and Proprelette, and not with Apple, which is not a party to this agreement;
  • the licence granted is limited, non-transferable and restricted to Apple-branded products that the User owns or controls, in accordance with the Usage Rules of the App Store Terms of Service;
  • Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the app;
  • in the event of any failure of the app to conform to any applicable warranty, the User may notify Apple, and Apple may refund any purchase price paid for the app; as the app is free of charge, there is no amount to be refunded. To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever;
  • Proprelette, and not Apple, is solely responsible for any claims relating to the app, including product liability, compliance with legal and regulatory requirements, and intellectual property infringement claims;
  • Proprelette, and not Apple, is responsible for the investigation, defence and settlement of any third-party claim that the app infringes that party's intellectual property rights;
  • the User represents that they are not located in a country subject to a U.S. Government embargo or designated as a terrorist-supporting country, and that they are not listed on any U.S. Government list of prohibited or restricted parties;
  • Apple and its subsidiaries are third-party beneficiaries of this section and may enforce its provisions;
  • for questions, complaints or support relating to the app, the User must contact Proprelette directly at contato@proprelette.com.

Provisions applicable to Google Play

The User acknowledges that Google LLC is not a party to these Terms, does not provide support for the app and is not responsible for it; Proprelette is solely responsible for the app and for supporting its users.

16Changes to these Terms

These Terms may be updated to reflect changes to the app, to legislation or to app store requirements. The current version will always be available at https://proprelette.com/termos, stating the date of the last update.

Material changes will be communicated through the registered contact channels or by notice within the app. Continued use of the app after the new version takes effect constitutes acceptance of the updated Terms.

17Governing law and jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil.

The courts of São Paulo/SP shall have jurisdiction over disputes arising from these Terms, to the exclusion of any other, except where mandatory statutory jurisdiction applies.

If any provision is found invalid, the remaining provisions shall remain in full force and effect.
